Contract: Site License Agreement for Training Material

Definitions

Agreement - This contract for a site license for training material.

Material - The training material that teaches business writing.

Author - Joseph W. Judge, the author and copyright holder of the Material.

Organization - The organization that buys from the Author a site license to use the Material.

Representative - The employee of the Organization who signs this contract.

Terms and Conditions

This Agreement covers the Material supplied by the Author.

Copyright of all the Material remains with the copyright holder, the Author.

The Material is supplied in Adobe Acrobat PDF softcopy format, customized with the Organization's name on the bottom of every page.

This Agreement is called a site license agreement, but it is actually an organizational license agreement. The Material may be used to train any employees of the Organization. It may not be used by or for anyone outside the Organization.

There is no limit to the number of hard copies of the Material that the Organization may produce for its employees, as self-study workbooks or as classroom handouts.

The Representative of the Organization, by signing this Agreement, guarantees, on behalf of the Organization, that all reasonable efforts will be used to ensure that the content in the Material shall not be extracted, modified, pirated, or sold.

All reasonable precautions have been taken in the preparation of the Material. No warranties are made, expressed, or implied with regard to the Material. If errors are found in the Material, the Author will make reasonable efforts to correct the errors and submit to the Organization an updated version of the Material.

This Agreement between the Author and the Organization supersedes any other agreement or discussions either oral or written and may not be changed except by written signed agreement.

Once the site license for this Material is purchased, no refund can be offered.

For this site license, the Organization agrees to pay $2000, as well as $1 per employee.
